Acceptance of Terms

These Website Terms of Use (“Terms”) govern your access to and use of the SyllogisTeks.com website (the “Site”), which is owned and operated by SyllogisTeks (“SyllogisTeks,” “we,” “us,” or “our”). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Site.

We may update these Terms from time to time. When we do, we will revise the “Effective Date” above. Your continued use of the Site after any changes constitutes your acceptance of the updated Terms.

Eligibility

The Site is intended for individuals who are at least 18 years of age. By using the Site, you represent and warrant that you are at least 18 years old. If you are under 18, you may not use the Site or submit any information through it.

Use of the Site

SyllogisTeks provides the Site to offer information about our staffing and consulting services, to allow job seekers to submit applications for employment and consulting opportunities, to allow companies to request staffing services, and to provide a means of contacting us. Your use of the Site is subject to these Terms and all applicable laws and regulations.

User-Submitted Content

When you submit information through the Site—including through the “Apply,” “Request Talent,” or “Contact Us” forms—you grant SyllogisTeks a nonexclusive, royalty-free, worldwide license to use, reproduce, store, and share that content for the purpose of providing our staffing and consulting services, including sharing candidate information with client companies to evaluate candidates for open positions. This license continues for as long as SyllogisTeks retains the content in accordance with its Privacy Policy.

You are solely responsible for the content you submit. SyllogisTeks does not claim ownership of your submitted content, but requires the license described above to operate its business.

Candidate Representations

If you submit an application or résumé through the Site, you represent and warrant that:

1. all information you provide is true, accurate, and complete to the best of your knowledge;
2. you will promptly notify SyllogisTeks of any material changes to the information you have submitted;
3. you are legally authorized to work in the United States or will disclose any limitations on your work authorization; and
4. your submission of materials through the Site does not violate any agreement, obligation, or law to which you are subject, including any confidentiality or non-competition obligations to a current or former employer.

Intellectual Property

The Site and its contents—including text, graphics, logos, trademarks, and software—are the property of SyllogisTeks or its licensors and are protected by applicable intellectual property laws. You may view and download material from the Site for your personal, non-commercial use only, provided you retain all copyright and proprietary notices. You may not otherwise reproduce, modify, distribute, transmit, or create derivative works from any content on the Site without our prior written consent.

Prohibited Uses

You agree not to use the Site for any purpose that is unlawful or prohibited by these Terms. Without limiting the foregoing, you agree not to:

1. use any automated means (including bots, scrapers, spiders, or crawlers) to access, monitor, or copy any content on the Site;
2. harvest, collect, or compile information about candidates, job listings, or other users of the Site for any purpose not expressly authorized by SyllogisTeks;
3. use information obtained from the Site to recruit, solicit, or engage any candidate or consultant identified through the Site outside of a staffing arrangement with SyllogisTeks;
4. use the Site for competitive intelligence, benchmarking, or to develop a competing product or service;
5. interfere with or disrupt the operation of the Site or the servers or networks used to make the Site available;
6. attempt to gain unauthorized access to any portion of the Site or any systems or networks connected to it;
7. submit false, misleading, or fraudulent information through any form on the Site; or
8. use the Site in any manner that could damage, disable, or impair the Site or interfere with any other party’s use of it.

Third-Party Links and Content

The Site may contain links to websites operated by third parties. These links are provided for convenience only. SyllogisTeks does not endorse, control, or assume responsibility for the content, privacy practices, or availability of any third-party website. Your use of any linked website is at your own risk.

Disclaimer of Warranties

THE SITE AND ALL CONTENT, INFORMATION, AND SERVICES PROVIDED THROUGH IT ARE MADE AVAILABLE ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SYLLOGISTEKS DISCLAIMS ALL WARRANTIES, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

SYLLOGISTEKS DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY CONTENT ON THE SITE IS ACCURATE, COMPLETE, OR CURRENT. SYLLOGISTEKS DOES NOT GUARANTEE THAT USE OF THE SITE WILL RESULT IN EMPLOYMENT, PLACEMENT, OR THE ENGAGEMENT OF QUALIFIED CANDIDATES.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SYLLOGISTEKS, ITS AFFILIATES, AND THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF SYLLOGISTEKS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE AGGREGATE LIABILITY OF SYLLOGISTEKS AND ITS AFFILIATES FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE SHALL NOT EXCEED TWO HUNDRED FIFTY DOLLARS ($250.00).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, THE LIMITATIONS AND EXCLUSIONS IN THIS SECTION SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW.

Indemnification

You agree to indemnify, defend, and hold harmless SyllogisTeks, its affiliates, and their respective directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Site; (b) your violation of these Terms; (c) any content you submit through the Site; or (d) your violation of any applicable law or the rights of any third party.

No Relationship

Your use of the Site does not create an employment, agency, partnership, joint-venture, or franchise relationship between you and SyllogisTeks. Nothing in these Terms shall be construed to make any user an employee, agent, or legal representative of SyllogisTeks. Any employment or consulting relationship with SyllogisTeks is governed by separate agreements and is not established by use of the Site alone.

Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Missouri, without regard to its conflict-of-laws principles. Any legal action or proceeding arising out of or related to these Terms or your use of the Site shall be brought exclusively in the state courts of St. Louis County, Missouri, or the United States District Court for the Eastern District of Missouri. You consent to the personal jurisdiction of those courts and waive any objection to venue in those forums.

Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

Entire Agreement

These Terms, together with the SyllogisTeks Privacy Policy, constitute the entire agreement between you and SyllogisTeks with respect to your use of the Site. These Terms do not alter, amend, or supersede any separate written agreement between you and SyllogisTeks relating to staffing services, consulting engagements, or any other business relationship.
